1. Ownership of Proprietary Architecture

All source code, architectural frameworks, and optimized logic utilized to create our Landing Pages are the sole property of Daveworks Inc.

While specific textual and visual assets may be derived from a client’s existing website, the stand-alone page framework is powered by sophisticated, proprietary software embedded within each page. Daveworks Inc. does not sell this proprietary code; we provide access to its high-performance results via a subscription model.

2. Licensing & Subscription Model

Our service operates on a Subscription/License basis, similar to cellular phone or web hosting service plans. Access to the Landing Pages is contingent upon an active monthly subscription.

• Setup Fee: The one-time setup fee covers the labor of coding the client’s brand “look and feel” into our proprietary framework. This fee does not constitute a purchase of the underlying code.
• Monthly License: The per-page or per-location monthly fee grants the client a revocable license to host and benefit from our proprietary files on their server(s).

3. Prohibited Actions & Anti-Piracy

To maintain the competitive advantage and security of our ecosystem, the following actions are strictly prohibited and constitute a violation of federal copyright law:

• Unauthorized Reproduction: Any form of copying, duplicating, or “mirroring” the source code, directory structures, or proprietary logic files.
• Creation of Derivative Works: Using Daveworks Landing Pages as a template or “base” to create new pages or systems not managed by Daveworks Inc.
• Reverse Engineering: Any attempt to deconstruct or “clone” the proprietary architectural logic or “Traffic Controller” mapping systems.
• Third-Party Distribution: Transferring, selling, or providing Daveworks proprietary files to third-party developers, agencies, or entities without express written consent.
• Header Removal: Modification or removal of proprietary ownership headers and license data from .php, .inc, or .js files.

4. Cancellation & File Removal

As there is no long-term commitment, clients may cancel their subscription at any time. However, upon cancellation of the monthly service:

• The license to use the proprietary Daveworks Landing Pages is immediately revoked.
• Daveworks Inc. will promptly remove all proprietary files from the webhost’s server(s).
• Once files are removed, the pages will no longer be active and will subsequently be removed from the Google search index.

5. Breach of IP Rights

Continued use of Daveworks Inc. proprietary files following a cancellation or a failure to maintain an active subscription constitutes a Breach of Contract and Theft of Intellectual Property. Daveworks Inc. aggressively protects its proprietary assets and will pursue all legal remedies to prevent unauthorized use of its code.
